We are not responsible for outages, interruptions, security incidents, or policy changes affecting third-party platforms.

3. Client Responsibilities

You agree to:

* Maintain the security of your accounts and credentials.

* Comply with all applicable federal, state, local, and international laws.

* Obtain all necessary permissions, authorizations, and consents from your customers and contacts.

* Ensure compliance with applicable privacy, telecommunications, and marketing laws.

You are solely responsible for all content, communications, campaigns, and activities conducted through your accounts.

4. SMS Program Terms

By using our services and providing your phone number, you consent to receive SMS messages from J-Bot Solutions LLC related to your inquiries, services, scheduling, support, and account-related updates.

All methodologies, frameworks, proprietary processes, documentation, templates, training materials, software configurations, and internal systems developed by J-Bot Solutions remain our intellectual property unless otherwise agreed in writing.

Client Deliverables

Upon full payment of all outstanding fees, clients receive a non-exclusive license to use deliverables created specifically for their business.

Ownership of third-party software, platforms, and tools remains with their respective owners.

8. Acceptable Use

You agree not to use our services to:

* Violate any law or regulation.

* Distribute unlawful, harmful, fraudulent, or deceptive content.

* Send spam or unsolicited communications.

* Infringe upon intellectual property rights.

* Transmit malware, viruses, or harmful code.

9. Service Availability

We do not guarantee:

* Marketing performance

* Search engine rankings

* Specific automation outcomes

Results depend on numerous factors outside our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, J-BOT SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO J-BOT SOLUTIONS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless J-Bot Solutions LLC, its owners, employees, contractors, affiliates, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

13. Termination

Either party may terminate services in accordance with any applicable service agreement.

We reserve the right to suspend or terminate services immediately if:

* Payment obligations are not met;

* Continued service creates legal, financial, or operational risk.

Termination does not relieve outstanding payment obligations.

14. Force Majeure

J-Bot Solutions shall not be liable for delays or failures resulting from circumstances beyond our reasonable control, including natural disasters, internet outages, cyberattacks, governmental actions, labor disputes, or failures of third-party service providers.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

16. Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiations between the parties.

If a dispute cannot be resolved informally, the parties agree that exclusive jurisdiction and venue shall lie in the state or federal courts located in Los Angeles County, California.
